Terms and Conditions

• CLIENT agrees to accept the disclaimer, terms and conditions; and the limits of the service plan / package selected by the CLIENT. PROVIDER reserves the right to cancel CLIENT's subscription if CLIENT's use of the SERVICE is not within the terms, conditions and package limits.
   
• CLIENT agrees to limit the use of a single subscription to a maximum of three (3) pages under a single (1) web site domain.
   
• CLIENT agrees to reduce the number of pages that are using the SERVICE if the total number of hits to all tracked pages exceeds the number of hits allowed by the selected package. PROVIDER reserves the right to implement necessary steps without further notice to ensure that the use of the SERVICE is within the limits of the selected package.
   
• CLIENT agrees to remove all HTML tags related to the SERVICE within one week after the end of the subscription.
   
• PROVIDER agrees make an attempt to send an email notice to the CLIENT when it is time to renew the subscription. However, CLIENT understands that it is his/her responsibility to renew the subscription before it expires if he/she wishes to continue using the SERVICE. The subscription to the SERVICE may automatically expire at the end of the term, and the logs may be removed without further notice unless renewed in due time.
   
• PROVIDER reserves the right to modify and update the current terms and conditions without further notice. PROVIDER will notify the CLIENT and allow a reasonable amount of time (maximum of 30 days) before enforcing any conditions that have been updated since CLIENT subscribed to the SERVICE.
   
• CLIENT may use the SERVICE to measure and analyze web page traffic. CLIENT may reproduce information displayed on the "counter display" and the "log report" related to CLIENT's web page activity for personal use and/or for use within his/her organization. In all other cases, CLIENT may not reproduce, distribute, transmit, publish or otherwise transfer or commercially exploit any software, file, image, sound, URL / web page address or other resource without express prior written permission from the PROVIDER. All rights not expressly granted herein are reserved.

LiveCounter Plug and Play IS PROVIDED ON AN AS-IS / AS-AVAILABLE BASIS.

PROVIDER SPECIFICALLY DISCLAIMS ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL OR INCIDENTAL DAMAGES, EVEN IF PROVIDER HAS BEEN ADVISED BY CLIENT OF THE POSSIBILITY OF SUCH POTENTIAL LOSS OR DAMAGE.

PROVIDER DOES NOT WARRANT TO CLIENT THAT CLIENT WILL RECEIVE CONTINUAL AND UNINTERRUPTED SERVICE. IF THE SERVICE IS DISRUPTED OR MALFUNCTIONS FOR ANY REASON, PROVIDER SHALL NOT BE RESPONSIBLE FOR ANY LOSSES OF INCOME DUE TO DISRUPTION OF SERVICE. PROVIDER ALSO DISCLAIMS ANY RESPONSIBILITY TO RECORD OR REPORT STATISTICS OUTSIDE THE LIMITS OF THE SELECTED SERVICE PLAN.

IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY DAMAGES RESULTING FROM OR RELATED TO ANY FAILURE OR DELAY OF THE SERVICE, BEYOND THE FEES PAID BY CLIENT TO PROVIDER FOR SERVICES DURING THE PERIOD OF DISRUPTION WITHIN THE CURRENT SUBSCRIPTION PERIOD.

CLIENT AGREES TO HOLD PROVIDER HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITIES AND EXPENSES.

PROVIDER RESERVES THE RIGHT TO REFUSE SERVICE TO ANYONE FOR ANY REASON.
